Opening a bank account for a Polish company with non-resident founders

Currently, the possibility of opening a current account for a legal entity in Poland, whose founders are non-residents, is provided by:

It should also be noted that the operations of many branches and subsidiaries of these banks are regulated by their internal instructions at the Voivodeship, city, and sometimes specific branch level, which means you may be refused account opening at a particular branch despite the bank’s general policy on working with non-residents.

What documents are required to open an account?

To open a corporate bank account in Poland, we will need:

  • Original and copies of foreign passports (notarized for remote opening) of the founders;
  • Company registration documents (company statute, extract from the National Court Register (KRS))
  • PESEL identification number (what it is, why this number is absolutely necessary for company founders in Poland, and how to obtain it, read here)
  • Notarized power of attorney (for remote opening);
  • Completed and signed bank applications and signature specimen cards (for remote opening for legal entities);

Is it possible to open an account with Millennium, ING, CITI Bank, or MBank in Poland if the founders are non-residents?

Currently, opening a current account in these banks is only possible under one condition: the company’s founders must have a temporary or permanent residence permit in Poland, i.e., they must possess a KARTA POBYTA. In all other situations, documents will not even be accepted for consideration by bank employees.

Account for foreign companies and non-resident legal entities in Poland

What if there is a need to open a current account in a Polish bank for a non-resident company registered in another EU country or outside the EU? One possible scenario: you are a Russian Federation citizen, you conduct business in Europe through your company in Latvia or Estonia, and your bank closes your current account. Can this problem be solved by opening an account in a Polish bank?

If it is not a classic offshore company (BVI, Panama, Seychelles, Belize, Hong Kong) and your company conducts transparent and open activities, then this is possible.

What does the procedure look like?

To open a current account in a Polish bank for non-resident companies, it is necessary to provide originals or notarized copies of the following documents:

  • Registration documents (Confirmation of company registration)
  • Extract from the Register confirming current registration (Extract from the Register)
  • Company Articles of Association
  • Certificate of tax registration (confirmation of TIN / NIP receipt)

IMPORTANT: documents must be provided in originals or notarized copies with an apostille. Documents must not be older than 6 months (does not apply to registration documents and company articles of association). Documents must undergo sworn translation into Polish.

Additionally, detailed information about the company’s business activities, existing and planned turnovers, drafts or actual contracts with counterparties, and planned amounts of incoming funds to the account must be provided.

How long does it take to open an account for a non-resident company in a Polish bank?

Typically, the bank’s review of client documents, security service approval, and account opening takes 7 to 30 days.
